End User License Agreement

This End User License Agreement (“Agreement”) governs your access to and use of SiteProforma (the “Service”), a construction financial and project-management application provided by SiteProforma (“SiteProforma,” “we,” “us”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to this Agreement. The Service is licensed, not sold.
2. Accounts & Access
Access is granted to authorized employees, contractors, and invited collaborators. You are responsible for maintaining the confidentiality of your access credentials and for all activity under your account. You must not share access with unauthorized parties.
3. Acceptable Use
You agree not to: (a) reverse engineer, decompile, or attempt to derive the source code of the Service except as permitted by law; (b) use the Service to store or transmit unlawful, infringing, or malicious content; (c) interfere with or disrupt the integrity or performance of the Service; or (d) attempt to gain unauthorized access to the Service or its related systems.
4. QuickBooks Online & Third-Party Data
The Service integrates with Intuit QuickBooks Online (“QBO”). When you connect a QBO company, you authorize the Service to access and process accounting data from that company solely to provide the Service’s features (e.g., cost tracking, bill coding, reporting). QuickBooks Online remains the system of record. You may disconnect QBO at any time from the Settings page, which revokes the Service’s access. Your use of QBO is also governed by Intuit’s applicable terms.
5. Data & Security
We take reasonable measures to protect the data you provide. OAuth tokens used to access QBO are stored encrypted at rest. You retain ownership of your business data. We process it only to operate and improve the Service. See our Privacy Policy for details on data handling.
6. Intellectual Property
The Service, including its software, design, and content (excluding your business data), is owned by us and our licensors and is protected by intellectual-property laws. No rights are granted except as expressly set out in this Agreement.
7. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service is an operational aid and is not a substitute for professional accounting, tax, or legal advice.
8. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Service.
9. Termination
We may suspend or terminate your access at any time if you breach this Agreement. Upon termination, your license ends and you must stop using the Service. Sections that by their nature should survive termination will survive.
10. Governing Law
This Agreement is governed by the laws of the jurisdiction in which SiteProforma is established, without regard to its conflict-of-laws rules.
11. Changes
We may update this Agreement from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Agreement.
